Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the AgentFi platform, operated by Nomads Tech Advisers S.L. (CIF: B70737846), registered at Avenida Blasco Ibáñez 71, 46470 Massanassa, Valencia, Spain ("AgentFi", "we", "us").

By creating an account or using the AgentFi service, you agree to these Terms. If you do not agree, do not use the service.

2. Description of Service

AgentFi provides the following services:

  • AI Site Optimizer: Automated crawling of your website and generation of AI-optimized page versions, served as alternate versions for AI agents via a transparent proxy on your domain.
  • Product Feed Distribution: Publishing your product feeds to AI commerce platforms including ChatGPT Agentic Checkout and Gemini UCP.
  • Agent Trust & Access (KYA): Issuance of cryptographic credentials and digital signatures for AI agent products under the Visa Trusted Agent Protocol, enabling compliant access through security firewalls.

3. Account Registration

To use AgentFi, you must register an account at app.agentfi.tech. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Acceptable Use

You agree not to use AgentFi to:

  • Violate any applicable laws or regulations
  • Misuse agent credentials — including using issued credentials for products or purposes other than those declared during the audit process
  • Circumvent security systems, anti-fraud mechanisms, or access controls of third-party sites in bad faith
  • Transmit malware, spam, or malicious content via AI agent infrastructure
  • Engage in fraudulent transactions or impersonate other entities
  • Resell or sublicense AgentFi credentials to unauthorized third parties

AgentFi reserves the right to suspend or terminate accounts that violate these provisions without notice.

5. Your Content and Data

You retain ownership of all content, product data, and feeds you submit to AgentFi. By using the service, you grant AgentFi a limited, non-exclusive license to process, optimize, and distribute your content as necessary to provide the service.

You represent that you have the right to submit all content and that it does not infringe the intellectual property or other rights of any third party.

6. Intellectual Property

The AgentFi platform, software, algorithms, branding, and documentation are the intellectual property of Nomads Tech Advisers S.L. Nothing in these Terms transfers any ownership of our intellectual property to you.

7. Payments and Fees

Fees for AgentFi services are described on our pricing page and may include subscription fees, per-transaction fees, and per-agent fees. All fees are exclusive of applicable taxes. Payment obligations are non-cancellable and fees paid are non-refundable except where required by law.

We reserve the right to modify pricing with 30 days notice to registered users.

8. Limitation of Liability

To the maximum extent permitted by applicable law, AgentFi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the service.

Our total aggregate liability for any claims under these Terms shall not exceed the amount you paid to AgentFi in the three months preceding the claim.

9. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the service will be uninterrupted, error-free, or that third-party platforms (such as ChatGPT or Cloudflare) will accept or act upon agent credentials at all times.

10. Termination

Either party may terminate the agreement at any time. You may close your account from the account settings page. AgentFi may suspend or terminate your access immediately if you breach these Terms or if we are required to do so by law.

Upon termination, your right to use the service ceases immediately. We will delete your data in accordance with our Privacy Policy.

11. Governing Law and Disputes

These Terms are governed by the laws of Spain. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Valencia, Spain.

12. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes by email at least 14 days before the changes take effect. Continued use of the service after that date constitutes acceptance of the updated Terms.
